Privacy Policy

1. Introduction

This Privacy Policy explains how Vyxis Technologies LLC ("Vyxis," "Company," "we," "us," or "our") collects, uses, shares, stores, and protects information when you use Vantage, our iOS football coaching and team intelligence application, websites, software, AI features, subscription services, and related services (collectively, the "Service" or "Vantage").

By using Vantage, you agree to this Privacy Policy. If you do not agree, do not use Vantage. This Privacy Policy is designed to describe our general data practices. The exact data we collect depends on the features you use, your account type, your subscription status, your device settings, your team role, and future app updates.

2. Summary of Key Privacy Points

Vantage may collect account information, team information, football-related content, AI prompts, AI outputs, subscription status, purchase information, device information, app usage information, diagnostics, and support communications.

Vantage uses third-party providers to operate the app. These may include Apple for App Store distribution, iOS features, subscriptions, and Sign in with Apple; RevenueCat for subscription management and purchase entitlement status; OpenAI for certain AI features; xAI/Grok for certain AI features; and cloud, database, analytics, security, and infrastructure providers.

We do not sell personal information in the traditional sense. We do not intend to use player or team content for third-party advertising. We do not knowingly collect personal information from children under 13 without proper consent.

AI features may process prompts, team information, uploaded content, and other context you provide in order to generate responses. Do not submit sensitive information, medical information, protected student records, private third-party playbooks, or personal information unless you have the legal right and proper consent to do so.

3. Information We Collect

3.1 Account Information

We may collect information you provide when creating or managing an account, such as: name; email address; username or display name; password or authentication credentials if applicable; Sign in with Apple identifier or private relay email if you use Sign in with Apple; profile photo or avatar if you add one; account preferences; role, such as coach, admin, player, parent, staff member, or team member.

3.2 Team, Coaching, and Football Information

Depending on the features used, we may collect team-related information, such as: team name; organization name; coach/admin details; player names or display names; roster information; positions; team invite codes; practice plans; drills; schedules or event information; team notes; messages or communications; play descriptions; football concepts; scouting-style notes if entered by users; attendance or participation information if supported; other information users choose to submit. You are responsible for making sure you have the proper rights and permissions before submitting team, player, or minor-related information.

3.3 User Content

We may collect content you submit, upload, generate, store, or share through Vantage, such as: text notes; prompts; AI questions; AI-generated outputs; practice content; play content; uploaded files; images; videos; documents; feedback; support messages; any other content you submit through the app. Not all of these content types may be available in every version of Vantage. This policy covers current and future features that may be added.

3.4 AI Prompts, Inputs, and Outputs

When you use AI features, we may collect and process: your prompts and questions; football-related context you provide; selected team or practice information used for the AI request; uploaded content or text used for the AI request; AI-generated responses; usage logs related to AI requests; error information, safety flags, or abuse-prevention data. AI requests may be processed by third-party AI providers, including OpenAI and xAI/Grok, depending on the feature, model, routing, and app configuration.

3.5 Subscription and Purchase Information

If you make a purchase or subscribe through the App Store, Apple processes payment information. We do not receive your full credit card number from Apple. We may receive or process subscription-related information through Apple and RevenueCat, such as: subscription status; product identifier; entitlement status; purchase date; renewal date; expiration date; cancellation status; trial status; transaction identifiers; country or region associated with the purchase; app user identifier or anonymous purchase identifier. We use this information to provide premium access, manage subscriptions, prevent fraud, restore purchases, troubleshoot billing issues, and operate paid features.

3.6 Device, App, and Technical Information

We may collect technical information automatically, such as: device type; iOS version; app version; device settings and language; approximate region or country; IP address; crash logs; diagnostics; performance information; feature usage; timestamps; session activity; authentication logs; security and fraud-prevention data.

3.7 Location Information

Vantage does not intend to collect precise location unless a specific location-based feature is added and you grant iOS permission. If future versions include location-based features, we will request permission through iOS where required and update our data disclosures as needed.

3.8 Health, Injury, and Sensitive Information

Vantage is not designed to collect medical records, protected health information, biometric identifiers, concussion records, injury diagnoses, rehabilitation information, or other sensitive health information. Do not submit sensitive health information unless the app specifically supports that use, you have all required permissions, and the information is necessary for a lawful purpose. If users choose to submit sensitive information anyway, we may process it only as necessary to provide the Service, secure the Service, comply with law, or respond to requests. We are not a medical provider and Vantage is not intended to be a HIPAA-covered medical service.

4. How We Use Information

We may use information to: provide, operate, maintain, and improve Vantage; create and manage accounts; authenticate users; enable team creation and invite features; allow coaches, admins, and team members to use team features; generate AI responses; personalize app functionality; provide premium subscription access; process subscription status and restore purchases; provide customer support; respond to questions and requests; debug errors and improve performance; protect against fraud, misuse, abuse, and security threats; enforce our Terms of Service; comply with legal obligations; communicate with users about service updates, security, account issues, and policy changes; develop new features and improve existing features; analyze usage in an aggregated or de-identified way.

5. AI Processing and Third-Party AI Providers

Vantage may send prompts, selected user inputs, relevant context, and other necessary content to AI providers in order to generate AI responses. These providers may include OpenAI and xAI/Grok. The data sent to AI providers depends on the feature used and the information included in the request. For example, if you ask Vantage to create a practice plan based on team information, the app may process the prompt and relevant team/practice context needed to generate that response.

We do not intend to send more information than reasonably necessary to provide the requested AI feature. However, users should avoid entering information that is highly sensitive, confidential, medical, legally protected, or unnecessary. Third-party AI providers may process data according to their own business terms, data processing terms, privacy policies, retention rules, security practices, and legal obligations. We may change AI providers or model routing over time. AI outputs may be inaccurate or incomplete. You are responsible for reviewing AI outputs before using them.

6. How We Share Information

6.1 With Service Providers

We may share information with vendors and service providers that help us operate Vantage, such as hosting providers, database providers, analytics providers, crash reporting providers, customer support tools, AI providers, payment/subscription infrastructure providers, security tools, and development tools. These providers are authorized to process information as needed to provide services to us, comply with law, protect security, and perform their contracted functions.

6.2 With Apple and RevenueCat

For iOS subscriptions and in-app purchases, Apple processes payment transactions. RevenueCat may help us manage subscription status, entitlements, purchase validation, and related subscription functionality. We may share or receive purchase-related identifiers and entitlement information to confirm whether you have access to premium features.

6.3 With Team Owners, Coaches, Admins, and Members

If you join or use a team workspace, certain information you submit may be visible to other authorized users within that team, such as coaches, admins, team owners, staff, players, or other invited members depending on their role and permissions. Team admins are responsible for managing access and removing users who should no longer have team access.

6.4 Legal, Safety, and Compliance

We may disclose information if we believe it is reasonably necessary to: comply with law, court orders, subpoenas, or legal process; enforce our Terms of Service; protect the rights, safety, and property of Vyxis, users, athletes, minors, teams, or others; investigate fraud, abuse, security incidents, or harmful activity; respond to emergencies; cooperate with law enforcement or regulators where required or appropriate.

6.5 Business Transfers

If Vyxis is involved in a merger, acquisition, financing, reorganization, sale of assets, bankruptcy, or similar business transaction, information may be transferred as part of that transaction, subject to appropriate protections where required by law.

6.6 Aggregated or De-Identified Information

We may use or share aggregated, anonymized, or de-identified information that does not reasonably identify you, such as usage trends, performance statistics, or general product analytics.

7. Selling or Sharing Personal Information

We do not sell personal information in the traditional sense. We do not intend to share personal information for cross-context behavioral advertising. If our practices change in the future, we will update this Privacy Policy and provide opt-out rights where required by law.

8. Tracking and Advertising

Vantage is intended to be a utility and AI coaching app, not an advertising-based app. If we ever use tracking technologies that require permission under Apple's App Tracking Transparency framework or applicable law, we will request consent where required and update our App Store privacy disclosures.

9. Data Retention

We retain information for as long as reasonably necessary to provide Vantage, maintain accounts, support team features, provide subscriptions, comply with legal obligations, resolve disputes, enforce agreements, protect security, and operate our business. Retention periods may vary depending on the type of information, the feature used, legal requirements, user settings, team settings, and technical needs.

If you delete your account or request deletion, we will delete or de-identify information where required by law and where technically and legally feasible. Some information may remain in backups, security logs, transaction records, legal records, or team records where retention is necessary or permitted. Team content may be controlled by team owners or admins. If you are part of a team, deleting your personal account may not automatically delete all team content you created if the content is part of the team workspace or needed for legitimate team records.

10. Security

We use reasonable administrative, technical, and organizational measures designed to protect information. However, no method of transmission or storage is completely secure. You are responsible for keeping your account credentials secure, using strong authentication, managing team access carefully, and not sharing sensitive information unnecessarily. 11. Children and Minors

Vantage may be used in football environments that involve minors. Because of that, coaches, parents, guardians, schools, teams, and organizations must be careful when submitting personal information about athletes. Vantage is not directed to children under 13 and does not knowingly collect personal information from children under 13 without proper parental or legally authorized consent.

If you are a parent or guardian and believe a child under 13 has provided personal information to Vantage without consent, contact us at info@vyxistechnologies.com. We will review the request and take appropriate action, which may include deleting the information. If you are a coach, admin, school, club, or organization using Vantage with minors, you are responsible for obtaining any required consent from parents, guardians, schools, leagues, or other authorized parties before entering or collecting personal information from minors. Do not upload or submit unnecessary personal information about minors. Do not submit medical, injury, disciplinary, educational, or sensitive information about minors unless you have proper legal authority and the app feature is designed for that purpose.

12. Student Records and School Use

Vantage is not intended to be a student records system or school compliance system unless we enter into a separate written agreement with a school or organization. If you use Vantage in a school, educational, or youth sports environment, you are responsible for complying with applicable school policies and laws, which may include student privacy rules, parental consent requirements, records policies, and data protection obligations. Do not upload protected educational records or school-controlled student data unless you have authority to do so and all required agreements or consents are in place.

13. Your Privacy Choices

Depending on your location and applicable law, you may have rights to: access personal information we hold about you; correct inaccurate information; delete personal information; request a copy of your information; restrict or object to certain processing; withdraw consent where processing is based on consent; opt out of certain data sharing where applicable; appeal a privacy rights decision where required by law. To make a request, contact us at info@vyxistechnologies.com. We may need to verify your identity before fulfilling a request. Some requests may be limited by legal obligations, security needs, subscription records, team records, technical limits, or the rights of others.

14. Account Deletion

You may request deletion of your account by contacting info@vyxistechnologies.com or using any account deletion feature available in the app. Deleting your account may remove your personal profile and access to the app, but it may not automatically cancel Apple subscriptions. To cancel a subscription, you must manage it through your Apple ID subscription settings. Some information may be retained where required or permitted by law, including purchase records, fraud-prevention records, security logs, support records, dispute records, and backup copies for a limited period.

15. State Privacy Rights

Depending on where you live, state privacy laws may provide additional rights. These may include the right to know what personal information is collected, the right to delete personal information, the right to correct personal information, the right to receive a copy of personal information, and the right to opt out of certain uses. 16. International Users

Vantage is operated by Vyxis Technologies LLC in the United States. If you access the Service from outside the United States, your information may be processed in the United States or other countries where we or our service providers operate. By using Vantage, you understand that your information may be transferred to and processed in countries that may have different data protection laws than your country. If Vantage becomes available in regions with additional privacy requirements, we may update this Privacy Policy or provide region-specific notices.

17. Third-Party Links and Services

Vantage may contain links to third-party websites, services, app store pages, support pages, or resources. We are not responsible for the privacy practices of third parties. You should review their privacy policies before providing information to them.

18. App Store Privacy Disclosures

Apple requires developers to provide privacy details in App Store Connect. Our App Store privacy label should match the actual data collected by Vantage and third-party tools integrated into the app. Depending on the final app configuration, Vantage may need to disclose categories such as contact info, user content, identifiers, purchases, usage data, diagnostics, and other data. These disclosures should be reviewed before App Store submission and updated whenever the app's data practices change.

19. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. If we make material changes, we may notify users by updating the effective date, posting an in-app notice, sending an email, or using another reasonable method. Your continued use of Vantage after an updated Privacy Policy becomes effective means you acknowledge the updated policy.

Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a legal agreement between you and Vyxis Technologies LLC ("Vyxis," "Company," "we," "us," or "our") governing your access to and use of the Vantage mobile application, website pages, software, content, artificial intelligence features, subscription services, and related services (collectively, the "Service" or "Vantage").

By downloading, accessing, creating an account, purchasing a subscription, or using Vantage, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use Vantage. If you use Vantage on behalf of a football team, school, athletic organization, business, club, or other entity, you represent that you have authority to accept these Terms on behalf of that organization and that the organization agrees to be bound by these Terms.

2. About Vantage

Vantage is an iOS-based football coaching and team intelligence app designed to help coaches, teams, and authorized users organize football-related information and use artificial intelligence tools to support preparation, planning, learning, communication, and analysis. Depending on the version of the app and your subscription level, Vantage may allow users to create teams, invite members, organize team information, build practice plans, use AI-generated suggestions, create football-related content, summarize information, ask football questions, and access premium features. Vantage is intended to support football preparation. It does not replace professional coaching judgment, athletic trainer review, medical advice, school policies, league rules, parental supervision, or safety protocols.

3. Eligibility

You must be at least 13 years old to use Vantage unless your use is authorized and supervised by a parent, legal guardian, school, team, coach, or organization with proper legal consent. If you are under the age of majority in your state or country, you may use Vantage only with permission from a parent or legal guardian.

If you are a coach, administrator, team owner, school representative, or adult user who invites players, athletes, students, or minors to Vantage, you are responsible for obtaining all permissions, consents, and authorizations required by law, school policy, team policy, league policy, and organizational rules before submitting or allowing the submission of any personal information, player information, roster information, videos, photos, communications, performance information, or other content involving minors. Vantage is not intended to knowingly collect personal information from children under 13 without verified parental or legally authorized consent. If you believe a child under 13 has submitted personal information without proper consent, contact us at info@vyxistechnologies.com.

4. Accounts and Account Security

To use certain features, you may need to create an account or sign in through supported login methods, such as Sign in with Apple or other authentication methods we make available. You agree to provide accurate information and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us promptly if you believe your account has been accessed without authorization. We are not responsible for losses caused by unauthorized account use unless required by applicable law. We may suspend or terminate access to accounts that violate these Terms, create security risks, misuse the Service, interfere with other users, or expose Vyxis, Vantage, teams, athletes, or third parties to risk.

5. Team Accounts, Coaches, Admins, and Players

Vantage may include team-based features where users have different roles, such as owner, coach, admin, player, parent, staff member, or team member. Team owners, coaches, and admins are responsible for managing access to their team workspace. This includes inviting the correct people, removing users who should no longer have access, controlling what information is shared, and making sure all team content is used appropriately.

If you are invited to a team inside Vantage, the team owner, coaches, or admins may be able to view certain information you submit within that team, such as profile details, messages, attendance, team activity, practice information, play-related content, AI prompts, uploaded content, or other football-related information depending on the app features used. Vyxis is not responsible for disputes between coaches, players, parents, schools, clubs, leagues, or other team members. Team admins are responsible for their own team decisions, content, communications, and compliance obligations.

6. AI Features and Output

Vantage uses artificial intelligence features powered by third-party AI providers, which may include OpenAI models, GPT Nano 5 or related OpenAI-powered models, Grok AI or xAI-powered models, and other AI services we may add or replace over time. AI features may generate suggestions, explanations, summaries, practice ideas, coaching notes, football concepts, drills, strategy ideas, player development ideas, or other content. AI-generated content may be inaccurate, incomplete, outdated, unsafe, or inappropriate for your exact situation.

You are responsible for reviewing, verifying, editing, and approving all AI-generated content before using it. You should never rely on AI-generated content as the sole basis for coaching decisions, player safety decisions, medical decisions, disciplinary decisions, eligibility decisions, recruiting decisions, legal decisions, or emergency decisions. Vantage does not guarantee that AI-generated information will be correct, safe, effective, compliant with football rules, compliant with school policies, compliant with league rules, or appropriate for every age group, player, skill level, injury status, team, or environment. You agree not to treat Vantage as a certified coach, licensed athletic trainer, doctor, lawyer, school administrator, compliance officer, or emergency response tool.

7. Football, Training, Injury, and Safety Disclaimer

Football is a physical sport that may involve risk of injury. Vantage may provide information related to football drills, practice planning, player development, strategy, or performance. This information is for general organizational and educational support only. You are responsible for making sure all drills, practices, workouts, plays, activities, and coaching decisions are appropriate for the age, skill level, condition, equipment, supervision, environment, and safety needs of the athletes involved.

Vantage does not provide medical advice, concussion advice, injury diagnosis, return-to-play guidance, rehabilitation plans, strength and conditioning prescriptions, nutrition plans, emergency care instructions, or athletic trainer services. If an athlete is injured, sick, experiencing symptoms, dealing with a concussion concern, or facing any health-related issue, seek help from a qualified medical professional, athletic trainer, parent or guardian, school official, emergency service, or other appropriate professional. In an emergency, call emergency services immediately. Do not use Vantage as an emergency response tool.

8. Subscriptions, In-App Purchases, and Billing

Vantage may offer free features, paid subscriptions, premium features, free trials, promotional access, or other paid services. Current subscription options are $20 per month or $200 per year, unless a different price is shown to you inside the App Store purchase flow due to taxes, regional pricing, promotions, Apple pricing changes, or later plan updates. Purchases made through the iOS app are processed through Apple's in-app purchase system. We may use RevenueCat to help manage subscription status, entitlement access, purchase validation, renewals, and subscription-related functionality.

If you purchase an auto-renewable subscription, your subscription will automatically renew unless canceled before the end of the current billing period. Your Apple ID account will be charged according to Apple's subscription rules and the plan you selected. You can manage or cancel your subscription through your Apple ID subscription settings. Deleting the app does not automatically cancel your subscription. The standard Vantage subscription options are $20 monthly and $200 yearly. Prices, subscription names, feature access, billing periods, free trials, and promotional offers may vary by country, user, offer, taxes, App Store configuration, or future plan changes. We may change subscription features or pricing as allowed by Apple's rules and applicable law. Refunds for purchases made through Apple are handled by Apple unless otherwise required by law. We do not control Apple's refund decisions.

9. Free Trials and Promotions

We may offer free trials, discounts, promotional subscriptions, beta access, or limited-time offers. Eligibility for these offers may be limited and may be changed or discontinued at any time. Unless stated otherwise, a free trial may convert into a paid subscription at the end of the trial period unless canceled before the trial ends. You are responsible for reviewing the offer details before accepting any subscription or trial.

10. License to Use Vantage

Subject to your compliance with these Terms, Vyxis grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use Vantage on iOS devices that you own or control, solely for lawful personal, team, coaching, or organizational use as permitted by these Terms and Apple's applicable usage rules. You do not own Vantage. We retain all rights, title, and interest in the app, software, design, branding, systems, features, databases, source code, object code, user interface, workflows, logos, trademarks, content, documentation, and all related intellectual property.

11. User Content

"User Content" means any content, information, data, text, messages, notes, team information, roster information, practice plans, player details, files, prompts, outputs, feedback, play descriptions, photos, videos, documents, or other materials that you submit, upload, create, enter, transmit, or store through Vantage. You retain ownership of your User Content, subject to the rights you grant us in these Terms.

By submitting User Content to Vantage, you grant Vyxis a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, process, reproduce, display, modify, transmit, and use your User Content as necessary to operate, provide, secure, improve, troubleshoot, and support Vantage, including generating AI responses and providing team-based features. You represent and warrant that you own or have the necessary rights, permissions, and consents to submit your User Content and to allow us to use it as described in these Terms and our Privacy Policy. You are responsible for your User Content. Do not submit confidential team information, player medical information, protected school records, private playbooks, third-party scouting material, copyrighted material, or personal information unless you have the legal right and proper authorization to do so.

12. AI Prompts, Inputs, and Generated Outputs

When you use AI features, your prompts, inputs, uploaded content, and related context may be processed by Vantage and third-party AI providers to generate responses. AI outputs may be based on your input, model behavior, system instructions, general model knowledge, and other technical factors. As between you and Vyxis, you may use AI outputs generated for you through Vantage for your personal, coaching, or team purposes, subject to these Terms, applicable law, third-party terms, and the rights of others.

You are responsible for reviewing AI outputs before sharing, publishing, relying on, or acting on them. We do not guarantee originality, exclusivity, accuracy, or ownership clearance of AI outputs. Do not use Vantage to generate or distribute content that violates these Terms, violates the rights of others, impersonates someone, harms minors, gives unsafe instructions, promotes violence outside legitimate sports context, facilitates illegal activity, or creates discriminatory, harassing, abusive, sexually explicit, or exploitative material.

13. Acceptable Use

You agree not to use Vantage to:

  1. violate any law, regulation, school policy, league rule, team rule, or third-party right;
  2. submit content you do not have permission to use;
  3. upload private information about minors without proper consent;
  4. submit medical records, protected health information, biometric identifiers, or sensitive personal information unless you have proper legal authorization and the app feature is intended for that use;
  5. harass, threaten, abuse, bully, exploit, or harm another person;
  6. generate sexually explicit content, exploitative content, or content involving sexualization of minors;
  7. upload malware, malicious code, viruses, or harmful files;
  8. attempt to reverse engineer, scrape, copy, modify, or interfere with the app, systems, APIs, AI prompts, security features, or infrastructure;
  9. use automated systems to access the Service without our written permission;
  10. attempt to bypass subscriptions, payment systems, usage limits, team permissions, or access controls;
  11. use the Service for gambling, betting, odds-making, or unlawful sports wagering;
  12. use the Service to make legally significant decisions about a person without human review;
  13. misrepresent your identity, team affiliation, authority, or role;
  14. interfere with another user's use of Vantage;
  15. use the Service in a way that damages, disables, overburdens, or impairs our systems or third-party systems.

We may investigate and take action against violations, including removing content, limiting access, suspending accounts, terminating accounts, reporting illegal activity, or cooperating with law enforcement where appropriate.

14. Intellectual Property

Vantage, Vyxis Technologies, the Vantage name, app design, logos, branding, software, user interface, workflows, code, content, business methods, and related materials are owned by Vyxis or its licensors and are protected by intellectual property laws. You may not copy, distribute, sell, rent, license, reproduce, modify, publicly display, create derivative works from, or commercially exploit any part of Vantage except as expressly allowed by these Terms. All trademarks, service marks, logos, and trade names used in Vantage are the property of their respective owners. Nothing in these Terms grants you ownership of any Vyxis or Vantage intellectual property.

15. Feedback

If you send us suggestions, ideas, feature requests, comments, or other feedback, you agree that we may use that feedback without restriction or compensation to you. Feedback does not create any confidential, fiduciary, employment, or ownership relationship between you and Vyxis.

16. Third-Party Services

Vantage may integrate with or rely on third-party services, software, platforms, APIs, model providers, payment systems, analytics services, hosting providers, authentication providers, app stores, and infrastructure providers. These may include Apple, RevenueCat, OpenAI, xAI/Grok, cloud service providers, and other vendors. Your use of third-party services may be subject to third-party terms, privacy policies, rules, and technical limitations. Vyxis does not control third-party services and is not responsible for third-party outages, errors, pricing changes, data practices, model behavior, content, or decisions. We may add, remove, suspend, replace, or modify third-party services at any time.

17. Apple App Store Terms

If you download Vantage through Apple's App Store, the following terms apply:

  1. These Terms are between you and Vyxis, not Apple.
  2. Apple is not responsible for Vantage or its content.
  3. Apple has no obligation to provide maintenance or support for Vantage.
  4. To the extent any warranty applies and is not effectively disclaimed, Apple's only warranty obligation is to refund the purchase price, if any, for Vantage as required by Apple's rules.
  5. Vyxis, not Apple, is responsible for addressing product claims, intellectual property claims, user claims, and legal compliance claims relating to Vantage.
  6. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you as a third-party beneficiary.
  7. Your use of Vantage must comply with Apple's applicable App Store terms, usage rules, and policies.

18. Privacy

Your use of Vantage is also governed by our Privacy Policy, which explains how we collect, use, disclose, store, and protect information. By using Vantage, you consent to our data practices as described in the Privacy Policy.

19. Updates, Changes, and Availability

We may update, modify, suspend, or discontinue Vantage, including any feature, subscription tier, AI model, provider, content, design, or functionality, at any time. We may release app updates that add, remove, or change features. Some updates may be required for continued use. We are not responsible if Vantage is unavailable, interrupted, delayed, or affected by bugs, maintenance, network issues, third-party outages, App Store issues, AI provider limitations, or events outside our control.

20. Beta Features

We may offer beta, experimental, early access, or preview features. Beta features may be unstable, incomplete, inaccurate, unavailable, or changed without notice. You use beta features at your own risk.

21. Suspension and Termination

We may suspend, restrict, or terminate your access to Vantage if we believe you violated these Terms, created legal or security risk, abused AI features, misused team data, failed to pay applicable fees, interfered with the Service, or used Vantage in a harmful or unlawful way. You may stop using Vantage at any time. You may request account deletion by contacting us at info@vyxistechnologies.com or using any in-app deletion tools we provide. Termination does not automatically cancel any active Apple subscription. You must cancel subscriptions through your Apple ID subscription settings. Sections that by their nature should survive termination will survive, including ownership, user content licenses needed for legal and operational purposes, disclaimers, limitation of liability, indemnity, dispute resolution, and payment obligations.

22. Disclaimers

Vantage is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Vyxis disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and uninterrupted operation. We do not guarantee that Vantage will meet your expectations, improve team performance, prevent mistakes, create winning strategies, comply with all rules, operate without errors, be available at all times, or produce accurate AI-generated content. You use Vantage at your own risk. You are responsible for verifying outputs, protecting your account, backing up important information, reviewing team content, and applying appropriate human judgment. Some jurisdictions do not allow certain warranty disclaimers, so some of the above disclaimers may not apply to you.

23. Limitation of Liability

To the fullest extent permitted by law, Vyxis Technologies LLC, its owners, officers, employees, contractors, service providers, licensors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, team disputes, coaching errors, player safety decisions, injury-related claims, AI-generated mistakes, or unauthorized access, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for any claim relating to Vantage or these Terms will not exceed the greater of: (a) the amount you paid to Vyxis through Vantage in the three months before the event giving rise to the claim; or (b) $100. Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

24. Indemnification

You agree to defend, indemnify, and hold harmless Vyxis Technologies LLC, its owners, officers, employees, contractors, affiliates, licensors, vendors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

  1. your use or misuse of Vantage;
  2. your User Content;
  3. your violation of these Terms;
  4. your violation of law or third-party rights;
  5. your team, organization, or user management decisions;
  6. your coaching, training, safety, health, or football decisions;
  7. your failure to obtain proper consent for minors or team members;
  8. your reliance on AI-generated content without proper review.

We reserve the right to control the defense of any matter subject to indemnification, and you agree to cooperate with us.

25. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except where federal law or mandatory consumer protection law requires otherwise.

26. Dispute Resolution

Before filing a claim, you agree to contact us at info@vyxistechnologies.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute in good faith. If a dispute cannot be resolved informally, any claim arising from or relating to these Terms or Vantage will be resolved through binding arbitration on an individual basis, unless you opt out as described below or unless applicable law prohibits arbitration.

You and Vyxis agree that disputes will be handled only on an individual basis and not as a class action, collective action, consolidated action, representative action, or private attorney general action. You may opt out of arbitration within 30 days after first accepting these Terms by emailing info@vyxistechnologies.com with the subject line "Arbitration Opt-Out" and including your name, account email, and a clear statement that you opt out of arbitration. Nothing in this section prevents either party from seeking relief in small claims court, seeking injunctive relief for intellectual property misuse, or reporting unlawful conduct to government authorities.

27. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may notify you by posting the updated Terms, updating the effective date, sending an email, showing an in-app notice, or using another reasonable method. Your continued use of Vantage after updated Terms become effective means you accept the updated Terms. If you do not agree, you must stop using Vantage.
